Independent Trustee – Perega Ltd Board of Trustees

Role Overview

The Independent Trustee will play a key role in providing independent oversight and scrutiny in terms of strategy and financial governance, ensuring compliance with EOT regulations, and supporting the long-term success of the business. The ideal candidate will bring governance and engagement experience, business acumen, and a commitment to the principles of employee ownership.

Commitment: Approx. 0.5 day per month

Location: UK (Meetings can be held remotely or in person as required)

Remuneration: TBC

About Us

We are a civil and structural engineering, glass and façade engineering and building surveying consultancy based in the UK, operating from 6 regional offices, with a circa £9M turnover, that transitioned to an Employee-Owned Trust (EOT) in 2019. As part of this on-going transition, we are seeking an Independent Trustee to join our Board of Trustees to help oversee the strategic governance of the Company via the Trust and ensure it operates in the best interests of our employee-owners.

Key Responsibilities

  • Act as an impartial member of the Board of Trustees, ensuring decisions are made in the best interests of the long-term success of Perega and the employee beneficiaries.
  • Provide strategic insight and governance oversight in line with the Trust’s objectives.
  • Assist in holding management accountable to promote the success of Perega.
  • Help to ensure the Trust complies with its legal and fiduciary responsibilities.
  • Support and promote the engagement between the employee-owners and the business leadership.
  • Attend and chair Trustee Board Meetings (approximately half a day per month).
  • Offer insight and guidance on business, financial, and legal matters where appropriate.
  • Bring an independent viewpoint to board discussions.

Skills and Experience

Essential:

  • Experience in governance, business management, or Board roles.
  • Understanding of fiduciary responsibilities and corporate governance.
  • Strong ability to think independently, critically, and creatively with the ability to provide objective oversight.
  • Strong communication and decision-making skills.
  • Commitment to employee ownership values, increasing staff engagement and long-term business sustainability.
  • Effective communication skills and the capacity to engage with employees at all levels.
  • Experience in handling sensitive or confidential information appropriately.

Desirable:

  • Previous experience as an Independent Trustee.
  • Experience and knowledge of employee ownership structures and EOTs.
  • Demonstrated leadership in chairing meetings and driving board-level discussions.
  • Experience in professional services or engineering sectors.

Accountability:

The role holder will be accountable to the fellow Trustee directors, adhering to the Board’s Terms of Reference and governance protocols.
